Terms and conditions

The short version

  • Your number and your chats stay yours.
  • You decide what each agent may do, and you're responsible for those choices.
  • AI can be wrong. Check what matters before it goes out.
  • No cold outreach or bulk messaging.
  • Pay per number, monthly; cancel any time.
  • We don't promise a number can't be restricted.

1. The agreement

#

These terms are the agreement between you and Wagent, LLC, a Delaware limited liability company (“Wagent”, “we”) for using Wagent: the app at app.wagent.sh, the agent connection at mcp.wagent.sh and this website. By creating an account or approving an agent’s request you agree to them.

If you use Wagent for a business, you agree for that business and confirm that you may bind it. You must be an adult who can enter a contract.

How we handle your data is in the Privacy policy.

2. Your account and workspace

#

You sign in with a link we email you, or with Google when that option is shown. Anyone who can open your email can open your account, so keep your email secure.

Your numbers, agents, rules and members live in a workspace. Members are owners, admins or members, and each sees only what their role allows. Only the owner can cancel the plan. You are responsible for what members do in your workspace.

An agent can ask for access using your email address. It gets nothing until you approve it, and a request you don’t approve within 7 days expires. Only approve requests you recognise, and never from a link someone else sent you.

3. Your WhatsApp number

#

Your number stays yours. Wagent connects to it as a linked device, the way WhatsApp Web does, or through Meta’s official route where it is offered. The connect screen shows the routes available to you, with their trade-offs, before you choose. Before you connect, we ask you to confirm that your chats are backed up, that the number is not used for bulk messaging and that you understand the risk of the route.

WhatsApp’s own terms still apply to you and your number. WhatsApp can restrict or ban a number, and that can happen to a number connected to Wagent, even if you follow these terms. We show your route’s risk and your number’s health, but we never promise that a number can’t be restricted or banned, and we are not responsible for what WhatsApp decides.

When you leave, your number keeps working in the WhatsApp app.

4. Agents you connect

#

You choose which agents to connect, approve each one’s access, and set the rules for what it may read, draft and send. A connected agent starts with no chats. You’re responsible for what you allow your agents to do, and for messages sent under your rules or with your approval.

Some limits stay on whatever your rules say: an agent never messages someone who has not written first, sends are capped per hour for each agent and per day for each number, and sends pause automatically when a number’s risk jumps. You can stop every agent at once.

If you turn on Send to all chats for an agent, it can read, draft and send in every chat that isn’t always hidden. One bad message can reach every contact. You accept that risk when you turn it on.

5. Approvals

#
  • An approval shows the recipient, any attachment, the exact text, the reason and the rule that held it.
  • When you approve, that exact message is sent. Any edit needs a new approval.
  • A held item that nobody answers expires and is dropped, not sent. Messages expire after 10 minutes, and other items may have their own time limit.
  • Phone approvals work only from your own number, in your Message yourself chat.
  • A rule you create from an approval, such as “next time without asking”, stays on until you change it.

6. AI can be wrong

#

Agents can make mistakes, misread a message or state something untrue. Transcripts can mishear names and amounts. History can have gaps. Check anything that matters before you rely on it.

The agents you connect are not made by Wagent. Wagent checks what they are allowed to do, not whether what they write is correct.

7. Your contacts

#

You are responsible for how you treat the people you message through Wagent. That includes:

  • having a lawful reason to process their messages and to contact them;
  • telling them about AI where the law or your own policy requires it;
  • honouring opt-outs;
  • following the laws that apply to your business and your messages.

8. Acceptable use

#

Wagent is for working your own conversations. Don’t use it for:

  • cold outreach or bulk marketing;
  • bought contact lists;
  • spam or messages people have not asked for;
  • unlawful, harmful or deceptive content;
  • executing OTC trades;
  • getting around a rule, guardrail, limit or another person’s access;
  • attacking, overloading or copying Wagent, or reselling it without our agreement.

The activity log is not a compliance archive. If you must keep records by law or regulation, keep them in a system built for that.

9. Prices and billing

#
  • You pay per WhatsApp number, per month, at the price shown on wagent.sh and in the app. Prices are in US dollars.
  • A new number starts with a 5-day trial (150 messages and 30 number checks; API requests are not capped). A number in its trial, or one that never started, is not billed. You see the price before you connect.
  • Meta’s message fees, if your number uses Meta’s official route, are billed at cost. AI usage is billed when Wagent’s keys are used; you can use your own key instead.
  • You can set a spend cap. We email you at 80% and 100% of it, and sends pause when you reach it.
  • Our payment provider takes the payments. Your invoices are in the app to download.
  • Plans renew each month until you cancel.
  • If we change a price, we will tell you at least 30 days before it applies.
  • Payments are not refundable, including for part of a month, unless the law requires it or we billed you by mistake.

10. Cancelling and leaving

#

You can cancel in three clicks, with no call. Your plan stays on until the end of the period you paid for, and we email you a confirmation with the end date.

When the plan ends, every agent stops and its access is revoked, and your number is released from Wagent. Your data is deleted 30 days after the plan ends, so export it first if you want a copy.

11. If we suspend or end your access

#

We can pause or end your access if you seriously or repeatedly break these terms, if you don’t pay, if your use puts other customers or Wagent at risk, or if the law requires it. Where we reasonably can, we will tell you first and give you time to fix the problem and export your data.

12. Your data

#

Your chats and data stay yours. We use them only to run Wagent for you, and we never use them to train AI models. You can export everything or delete it at any time. The Privacy policy has the details.

13. Our service

#

Wagent, its software and its brand belong to us. You may use them only to run your own workspace under these terms. If you send us feedback, we may use it without owing you anything.

14. Developers, API and sandbox

#

Agents reach Wagent through MCP, the REST API and signed webhooks. All three pass through the same rule check. Keep your tokens and keys secret; you can revoke them at any time. You are responsible for calls made with them.

If you use connect.js to let your own users connect their WhatsApp, each user must approve access themselves, and you are responsible for your product and your terms with them.

The Sandbox is a fake WhatsApp with 5 test contacts. Nothing sent there reaches real people, and nothing is billed.

15. Availability

#

We don’t promise that Wagent will always be available or free of interruptions. WhatsApp connections can drop. When a number disconnects, its agents pause and we email you. We may change or improve features over time.

16. Other services

#

WhatsApp and the makers of the agents you connect are third parties, with their own terms. We are not responsible for them. WhatsApp is a trademark of WhatsApp LLC. Claude, ChatGPT, Cursor, n8n, Make and Zapier are trademarks of their owners. Wagent is not affiliated with or endorsed by any of them.

17. Liability

#

Wagent is provided as it is. As far as the law allows, we give no promises beyond the ones in these terms.

As far as the law allows, we are not liable for lost profits, lost business or indirect losses, or for a number being restricted or banned. Our total liability for all claims about Wagent is limited to the greater of what you paid us in the 12 months before the claim arose and US$100.

Nothing here limits liability that the law does not allow us to limit, or rights you have by law as a consumer.

18. Claims about your use

#

If someone brings a claim against us because of the messages you sent, the way you used their data, or your breach of these terms, you will cover our reasonable losses from that claim, as far as the law allows.

19. Changes

#

When these terms change, the date at the top of this page changes with it. For a change that matters, we will give you at least 30 days’ notice. If you keep using Wagent after that, the new terms apply. If you don’t agree, you can cancel.

20. Governing law

#

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Disputes go to the state and federal courts in Delaware, and you and we agree to their jurisdiction. If you are a consumer, you may also have the right to bring a claim in the courts where you live.
